International

If you are based outside the United States and need legal assistance with your existing U.S. affiliate, or if you want to enter the U.S. market, we can help. We regularly advise companies from abroad in virtually all legal issues they face in the U.S. We are bilingual or multilingual, multicultural, and are trained in one or more foreign legal systems. Our ‘think global, act local’ approach, relying on an extensive network of local counsel worldwide and our deep ties to attorneys trained at U.S. “Big Law”, who provide backup resources and the specialty services we seek when needed, helps clients respond to the changing times and address their local needs.

Our international representations include mergers and acquisitions, commercial transactions, intellectual property, litigation and dispute resolution, and labor and employment. In addition to what we offer “in-house”, we team up with outside resources that we manage for you to offer securities compliance, financing, antitrust and competition law, construction, environmental, and tax legal services.

Litigation

We bring extensive experience handling complex commercial litigation across a range of industries, including construction, real estate, advertising and marketing, professional services, insurers, manufacturers, retailers, and financial services. We have tried cases in state and federal court and conducted arbitrations before the International Chamber of Commerce, and the two most prevalent arbitration associations in the United States, namely the American Arbitration Association and JAMS.

Our deep litigation background and knack for offering real-world risk assessment and implications have helped clients in situations involving product claims, employment issues, government regulatory actions and investigations, securities and consumer protection class actions, as well as false and deceptive advertising claims and consumer law. We are also well-versed in addressing product claims and partnership disputes.

We have a proven ability to provide effective counseling in crisis situations and with respect to improving routine operations to minimize risks. That’s part of our DNA to be the trusted advisors and outside General Counsel of our clients.

Corporate and Commercial

We focus on growth, mid-cap, large private or small public companies, governmental organizations, and individuals in the United States and abroad in the areas of corporate and business law, as well as technology transactions. The core of our corporate and commercial practice consists of assisting French, European, and other international companies in their U.S. investments and cross-border transactions. We serve as outside U.S. general counsel to a variety of European clients, providing day-to-day legal and business counsel in matters of all types.

Real Estate and Insurance

We are counseling and litigating cases for leading title insurance companies in the U.S. on their real estate matters. We intervene in complex real estate litigation cases and advise our domestic and foreign clients on their real estate transactions, including the drafting and negotiation of their commercial leases. We assist a wide range of international retail brands in their day-to-day real estate matters.

Employment

We handle the day-to-day employment matters of our domestic and foreign clients, from the drafting of their Employee Handbook and Employment Contracts—or complex Executive Services Agreements—through their dispute resolution and litigation cases, including on discrimination issues and questions. We assist international businesses in their due diligence review of potential U.S. targets and guide our clients on employment compliance issues.

Mergers & Acquisitions

We handle the mergers and acquisitions and complex transactions of foreign and domestic clients expanding their businesses in the U.S. We act as day-to-day trusted advisors of our clients on all their corporate transactions and restructuring operations. We regularly perform legal (corporate, commercial, employment, and litigation) due diligence reviews on behalf of major European “Big Four” consulting companies for their global clients investing in, or divesting their, U.S. assets.
